Statute | Rules and Regulations for the Conduct of Charitable Activities of the Doctor Tanya Mavrodinova Foundation

Generally

Article 1. (1) These Rules of Procedure regulate the rules and the order of execution of charitable activities of the Doctor Tanya Mavrodinova Foundation and determine the rules for obtaining and issuing their property.

(2) The Doctor Tanya Mavrodinova Foundation, City of Varna, hereinafter referred to as the "Foundation", is a legal entity registered under the provisions of the Law on Non-Profit Legal Entities and as a foundation for the performance of charitable activities under Article 2 of the Law on non-profit organizations, defined.

Article 2. The Foundation is mainly active in the public interest and has the following objectives:

Article 3. (1) In order to achieve the objectives of the charitable activity as defined in the Foundation Statute, the following resources shall be provided:

3. The foundation distributes no profit.

4. The Foundation does not accept donations under conditions or to achieve goals that are in conflict with its statutes.

5. The assets of the Foundation will be managed so as to provide sufficient financial resources to achieve the objectives.

6. The foundation can set up and manage its own funds according to the donor's wishes.

7. The property of the Foundation will be held accountable and controlled in accordance with applicable laws.

8. Upon liquidation of the Foundation, the property remaining after the satisfaction of the creditors is transferred to a charitable organization with similar activity. The concrete organization is determined by the Board of Trustees, and if it can not be named within three months after the satisfaction of all creditors, it is determined by the liquidator.

9. If ownership is not granted under point 8, it will be transferred to the municipality where the foundation is located. The municipality is obliged to make the property of a charitable legal entity available for charitable purposes in order to come as close as possible to the goals of the foundation.

Article 4. (1) Each year, the Foundation Council shall adopt guidelines for the development of the Foundation and a program for its activities. The Assembly shall establish a program of Foundation activities specific to the Foundation's main activity as referred to in Article 2 of these Rules and practiced each calendar year.

(2) The annual program provides for concrete measures to carry out each event or activity.

(3) With the annual program, the Foundation Board commissions the Executive Director of the Foundation to organize and carry out the planned individual activities and events, and authorizes him to spend the programmed and planned funds in accordance with the approved nature, size and purpose of the funds.

(4) The foundation board determines the type and amount of support for each individual activity, the group of persons for the foundation grant, the order and selection criteria according to which the foundation supports the individual. According to Article 9 (8) of the Memorandum / Articles of Association and by decision of the Foundation Council, Members may receive remuneration for their work in the Foundation.

Article 5. (1) The resolutions of the foundation board concerning the support and use of funds shall be taken by a majority of 2/3 of the members of the foundation board.

(2) The persons who wish to be supported submit a reasoned request to the foundation board.

(3) The application will be considered in the first meeting of the foundation board after its receipt.

(4) If the application is made by a person in accordance with Article 41 of the Law on Non-Profit Organizations, the Foundation Council shall decide on it by a majority of 2/3 of the members.

Final provisions

  1. These Rules of Procedure were adopted at a meeting of the Council of the Doctor Tanya Mavrodinova Foundation.
  2. Questions not covered by these Rules of Procedure must be dealt with in accordance with the provisions of the GüGJP, the Foundation Statute and the Legislation of the Republic of Bulgaria, as well as under private international law on the opening of the Foundation's branch in other countries.
